An Elite US Law firm is seeking a driven and commercially minded Private Funds Associate to join their market-leading team, known for the establishment and operation of a wide variety of private investment funds and high-profile fundraisings across private equity, growth, venture capital, energy, infrastructure, real estate, credit, and secondaries. The role also includes advising on bespoke managed account arrangements, executive incentive structures, carried interest, and co-investment programs.About the Team: With attorneys across North America, Europe, and Asia, the team offers a fully integrated, global service across the fund lifecycle. Clients include leading global alternative asset managers and financial institutions, independent boutiques and first-time fund sponsors, and a wide range of institutional investors including sovereign wealth funds, family offices, pension funds, and corporates. The team provides full-service support in areas such as private fund formation and structuring, liquidity solutions and secondaries, investment management and regulatory counsel, and strategic general partner (GP) advisory.Responsibilities
Advise on all aspects of fund formation, including structure, governance, investor terms, and regulatory considerationsDraft and negotiate a wide range of fund documentation (e.g., limited partnership agreements, private placement memoranda, side letters, management agreements)Work on co-investment and carried interest arrangements, including bespoke incentive schemesLiaise with tax, regulatory, and transactional teams across jurisdictionsTake responsibility for client-facing workstreams and support senior lawyers on large-scale, multi-billion-dollar fundraisingsWhat they’re looking for
Qualified solicitor (England and Wales or common law jurisdiction)2–6 years’ post-qualification experience at a top-tier law firm or in-house in private funds or investment managementStrong technical understanding of private fund structures and key regulatory frameworks (e.g., AIFMD, SEC, CFTC)Exceptional drafting skills and commercial judgementA collaborative, proactive mindset with a strong sense of ownershipInterest in developing a long-term career in a fast-paced, international private funds practiceContact
