This role sits in the DWS Private Equity Infrastructure business (DWS Infrastructure). The team acquires and manages equity investments in essential infrastructure services across transportation, energy, digital and social infrastructure sectors. The division has funds under management of approximately €24.4 billion and focuses on European opportunities for institutional investors and private clients.The role is for a London-based corporate qualified lawyer to join on a permanent basis to support asset management activities of DWS Infrastructure and the full lifecycle of asset management for portfolio companies. The candidate will work with the investment and asset management teams on a variety of legal aspects of asset management and portfolio company matters. We currently manage around 17 assets and anticipate growth as capital is deployed.Role Details

As a Corporate Legal Asset and Portfolio Fund Management professional you will provide support to the investment and asset management teams on a range of legal aspects related to asset management and portfolio companies.Providing support for portfolio companies on key commercial contract negotiations (e.g., project agreements, standard form services, or customer agreements), including liaison with management and legal teams in portfolio companiesSupporting the recruitment process for management team members, including review and negotiation of service contracts and employment arrangements, engagement letters with recruiters, and appointment of non-executive directorsLiaising with external counsel on the implementation of management incentive plans, including amendments to shareholders’ agreements, articles of association, share issuances and capitalisation of fundingAssisting with arrangements for new joiners and leavers to management incentive plansAssisting with corporate governance matters for portfolio companies, including liaising with outsourced corporate service providersAttending Investment Committee meetings and preparing recordsProviding a first point of contact for and managing relationships with outsourced service providers and the investment team in negotiations of NDAs, release letters and engagement lettersRequirements / What we are looking for

At least 4 years PQE experience at a national or international law firm with experience in general corporate and/or commercial contract mattersExperience working with infrastructure fund clients is preferred but not essentialIn-house experience preferred (including secondments) but not essentialAbility to manage and progress workstreams independently, while also working within a teamStrong workload management and prioritization skillsGood communication skills, including ability to distill complex legal matters for discussion with the investment teamQualified in England and Wales; dual qualification in another European jurisdiction would be beneficial but not essentialLanguage: English (fluent); proficiency in another European language beneficialWhat we’ll offer you
